Corporate Attorney – Capital Markets Practice

A global Am Law 100 firm is seeking an experienced Corporate Attorney to join its Capital Markets group in the Fort Lauderdale area. This role offers competitive compensation, comprehensive benefits, and the opportunity to work with a diverse portfolio of high-profile clients nationwide.

 

This position is best suited for an attorney with 5–10 years of capital markets experience who thrives in a dynamic, collaborative environment and enjoys working on complex, high-stakes transactions.

 

Key Responsibilities:

  • Advise clients on domestic and cross-border capital markets matters.
  • Counsel public companies on ongoing reporting obligations under the ’34 Act, including 10‑Ks, 10‑Qs, 8‑Ks, proxy statements, and Sections 13 and 16 filings.
  • Prepare and review securities offering documents, including Rule 144A offerings, S‑1, S‑3, and S‑4 registration statements.
  • Provide guidance on corporate governance issues and regulatory compliance.
  • Work with the SEC and other regulatory bodies to ensure compliance with securities regulations.
  • Collaborate with internal teams and clients to deliver high-quality legal advice. 

Qualifications:

  • JD from an ABA-accredited law school.
  • 5–10 years of experience in corporate law with a focus on capital markets.
  • Florida Bar admission required; admission in additional jurisdictions is a plus.
  • Proven experience with securities offerings, public company reporting, and governance matters.
  • Strong academic credentials, with demonstrated drafting and negotiation skills.
  • Ability to manage complex transactions and maintain strong client relationships.
  • Detail-oriented with excellent organizational and time management skills.

Preferred Experience:

  • Background in public and private securities offerings, proxy statements, and SEC filings.
  • Exposure to M&A transactions and due diligence processes.
