A nationally respected law firm is seeking a team‑oriented Senior Corporate Associate with 6–7 years of large law firm experience to join its Business & Finance practice in Chicago. This role is ideal for attorneys focused on middle‑market private equity and sophisticated transactional work across diverse industries.

Corporate Senior Associate Requirements & Qualifications:
- 6–7 years of substantive corporate and transactional experience
- Experience with M&A (buy‑side and sell‑side), private equity, and complex business transactions
- Strong drafting, negotiation, and deal‑management skills
- Excellent academic credentials
- Ability to manage multiple transactions in a fast‑paced, collaborative environment
- Licensed in Illinois or eligible to waive in
Corporate Senior Associate Preferred Background & Skills:
- Middle‑market private equity experience
- Exposure to entity formation, governance, financing, restructuring, and fund‑related work
- Ability to work closely with partners and clients on sophisticated transactions
- Strong business judgment and attention to detail
- Interest in long‑term growth within the Chicago corporate market
Corporate Senior Associate Day‑to‑Day Responsibilities:
- Lead and support M&A transactions from initial structuring through closing
- Draft and negotiate purchase agreements, operating agreements, and other transactional documents
- Advise clients on private equity investments, governance, and general corporate matters
- Manage deal execution, timelines, and closing processes
- Coordinate with partners, clients, and third‑party advisors to ensure smooth transaction flow
- Conduct due diligence and prepare related analyses and reports
