We are seeking a Corporate / M&A attorney to assist with a wide range of business transactions, including mergers and acquisitions, private offerings, capital restructurings, and related matters. The ideal candidate will have meaningful transactional experience, including first or second chair responsibility, and a strong background in general corporate and contract work.
Corporate Attorney Responsibilities:
- Assist in structuring, negotiating, and executing mergers and acquisitions and other complex business transactions.
- Draft, review, and negotiate transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements.
- Handle general corporate matters, including governance, entity formation, and commercial contract drafting.
- Manage and conduct legal due diligence and coordinate transaction closings.
- Maintain regular client communication and deliver responsive, high-quality client service.
Corporate Attorney Requirements:
- 5–12 years of law firm experience with a focus on corporate and M&A transactions.
- Demonstrated first or second chair experience on complex business transactions.
- Strong drafting, analytical, and issue-spotting skills.
- Ability to manage multiple matters and deadlines simultaneously.
- Admission to the Michigan bar or willingness to become admitted.
