**Key Responsibilities**

**Commercial Contracts & Transactions**  

– Draft, review, negotiate, and manage all stages of commercial agreements (hardware sales, offtake contracts, NDAs, licensing, etc.).  

– Use AI for rapid triage of incoming contracts, identifying risks and deviations early.  

– Maintain a contract playbook for standard clause positions, enabling AI to apply consistent review.  

– Manage vendor relationships through the contracting process with OEMs, cloud partners, and customers.

**Corporate Governance & Equity**  

– Handle board resolutions, shareholder consents, meeting minutes, and subsidiary upkeep.  

– Oversee equity transactions like stock transfers and options, using AI for automation and data verification.  

– Build an AI-queryable corporate knowledge base for instant governance questions.  

– Support financing and M&A activities, including due diligence and negotiations.

**AI-Augmented Legal Operations**  

– Develop AI workflows for contract review, document assembly, compliance, and obligations.  

– Use AI tools to automate contract analysis, risk assessments, and metadata extraction.  

– Create and improve prompts and resources for AI to enhance efficiency.  

– Implement a centralized document system organization-wide.

**Regulatory & Compliance**  

– Monitor legal developments in Bitcoin mining, digital assets, and energy sectors.  

– Automate OFAC/SDN screening for international partners.  

– Advise on data privacy, export controls, and sanctions as the company expands.  

– Manage external counsel for specialized issues, keeping costs in check.

**Litigation & Dispute Management**  

– Oversee litigation activities, including discovery and outside counsel coordination.  

– Maintain litigation hold procedures and templates.  

– Assess dispute risks and advise on resolution strategies early.
