Attorney – Transactional Finance – Commercial & Industrial Requirements & Qualifications

Juris Doctor (J.D.) degree with strong academic credentials
Admission to the New York and/or New Jersey Bar (Florida Bar admission is a plus)
4+ years of transactional or commercial finance experience, with a focus on C&I lending
Strong drafting, negotiation, and organizational skills
Excellent written and verbal communication abilities
Ability to work independently and collaboratively within a team
Familiarity with UCC Article 9 secured transactions strongly preferred

Attorney – Transactional Finance – Commercial & Industrial Preferred Background & Skills

Experience with Florida-specific lending statutes
Practice background including commercial real estate or other lending
Experience handling asset-based and cash-flow-based credit facilities

Attorney – Transactional Finance – Commercial & Industrial Day-to-Day Responsibilities

Prepare, review, and negotiate a range of commercial agreements, including purchase and sale agreements, leases, easements, and related documents
Draft and negotiate financing documents, such as term loans, revolving credit facilities, security agreements, guarantees, and intercreditor agreements
Manage due diligence efforts, including title, survey, lease review, and collateral verification for C&I loans
Advise clients on transaction structuring, collateral packages, and support complex closing processes
Serve as a primary contact for institutional lenders, regional banks, and corporate borrowers
Support leasing matters and coordinate all aspects of C&I commercial finance closings
