Build the Infrastructure Powering the AI Economy
A highly capitalized infrastructure platform is seeking an exceptional Associate General Counsel to join its executive team and help shape the legal strategy behind some of the most significant energy, digital infrastructure, and development projects in North America.
This is a rare opportunity to move beyond traditional legal practice and become a strategic business partner at a company developing and investing in large-scale infrastructure assets at the intersection of power generation, energy transition, hyperscale data centers, digital infrastructure, and next-generation technologies.
Reporting directly to the General Counsel, the Associate General Counsel will work closely with executive leadership, investors, lenders, developers, engineers, commercial teams, and external advisors on a broad range of corporate, commercial, financing, development, governance, and strategic matters.
This role is ideally suited for a highly motivated attorney seeking a meaningful seat at the table and the opportunity to help build a category-defining infrastructure platform.
What You'll Do
- Serve as a trusted legal and business advisor to executive leadership across corporate, commercial, development, financing, and operational matters.
- Structure, draft, review, and negotiate a wide range of agreements, including:
- Commercial contracts
- Joint venture agreements
- Development agreements
- EPC and construction-related agreements
- Confidentiality agreements
- Strategic partnership agreements
- Financing and investment documentation
- Corporate governance documents
- Support acquisitions, investments, financings, and other strategic transactions.
- Advise on project development initiatives involving power, energy, digital infrastructure, and related assets.
- Assist with corporate governance matters, board materials, entity management, and organizational compliance.
- Coordinate and manage outside counsel across multiple jurisdictions and practice areas.
- Partner with development, finance, accounting, engineering, procurement, and commercial teams to facilitate timely project execution.
- Identify legal risks and develop practical solutions that support business objectives while appropriately managing exposure.
- Support investor, lender, and stakeholder engagement related to strategic projects and transactions.
What We're Looking For
- Juris Doctor from an accredited law school.
- Licensed and in good standing in at least one U.S. jurisdiction.
- Approximately 5–10 years of legal experience, including significant experience at a nationally recognized law firm and/or sophisticated in-house legal department.
- Strong experience in one or more of the following areas:
- Energy
- Power generation
- Renewable energy
- Infrastructure
- Digital infrastructure
- Data centers
- Utilities
- Project development
- Project finance
- Corporate M&A
- Infrastructure investments
- Demonstrated ability to manage complex transactions and negotiate sophisticated commercial agreements.
- Experience advising executive leadership and business stakeholders.
- Excellent business judgment, communication skills, and ability to operate in a fast-paced entrepreneurial environment.
