Seeking a Senior Corporate Attorney to join a dynamic and entrepreneurial corporate practice advising business owners, entrepreneurs, and investors. This role is ideal for a seasoned attorney who enjoys acting as a strategic partner to clients—guiding them through complex transactions, structuring businesses, and supporting long-term growth initiatives.
You’ll work closely with leadership and clients to deliver practical, business-focused legal solutions while playing a key role in both client relationships and firm growth.
Key Responsibilities:
- Serve as a trusted legal advisor to business clients on a wide range of corporate and transactional matters
- Structure, negotiate, and draft agreements related to entity formation, governance, and operations
- Advise on mergers & acquisitions, corporate restructurings, and other strategic transactions
- Draft and review key corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements
- Provide guidance on corporate governance, compliance, and risk management matters
- Collaborate with partners and internal teams on complex client engagements
- Build and maintain strong client relationships while contributing to business development efforts
- Mentor and support junior attorneys and legal staff

Requirements & Qualifications:
- Juris Doctor (JD) from an accredited law school
- Licensed and in good standing with the State Bar of Texas
- 8+ years of corporate law experience, preferably within a law firm setting
- Strong experience in business transactions, entity structuring, and contract negotiation
- Excellent analytical, drafting, and communication skills
- Ability to manage multiple matters while maintaining strong attention to detail
Must Haves:
- Significant experience advising business owners and entrepreneurs
- Strong transactional background (M&A, restructuring, entity formation)
- Ability to operate independently while managing complex matters
- Client-focused mindset with practical, business-oriented legal approach

- Experience working in an entrepreneurial or growth-oriented firm environment
- Demonstrated ability to build and maintain client relationships
