Securities & Capital Markets Associate Requirements & Qualifications
- JD or LLM from an ABA-accredited law school
- Admitted or eligible for admission in New York
- Minimum 3 years of capital markets experience representing issuers and underwriters/placement agents in ’33 Act transactions
- Experience advising public companies on ’34 Act filings, compliance, and corporate governance
- Excellent written and verbal communication skills
- Strong analytical, organizational, and time-management abilities
- Proven success collaborating within team settings and delivering high-quality client service
Securities & Capital Markets Associate Day-to-Day Responsibilities
- Advise on capital markets transactions, including securities offerings and regulatory compliance
- Counsel public and private clients on SEC filings, disclosure requirements, and governance matters
- Collaborate with partners and team members to deliver efficient, effective legal solutions
- Draft and review offering documents, compliance materials, and transactional agreements
- Balance multiple high-volume projects while maintaining rigorous attention to detail
- Develop client relationships and support ongoing business development initiatives
