Senior Attorney – Corporate
Our client, a consistently ranked Am Law Global 110 firm, is seeking a Senior Attorney to join its dynamic Corporate Practice. Senior Attorney – Corporate Qualifications:
- JD from an ABA-accredited law school
- 5–10 years of corporate law experience, with a focus on capital markets
- Florida Bar admission required; admission in other states is a plus
- Strong academic background with excellent drafting and negotiation skills
- Proven experience advising on securities offerings, public company reporting, and corporate governance
- Detail-oriented with strong problem-solving, organizational, and time management skills
- Experience with public and private offerings, proxy statements, and SEC filings
- Familiarity with M&A transactions and due diligence is a plus
Senior Attorney – Corporate Responsibilities:
- Advise on domestic and cross-border capital markets transactions
- Draft and review securities offering documents, including Rule 144A offerings and registration statements (S-1, S-3, S-4)
- Manage SEC interactions to ensure compliance with securities laws
- Counsel public companies on ’34 Act reporting, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Sections 13/16 filings
- Provide corporate governance advice to public companies
- Work closely with clients and internal teams to deliver efficient, high-quality legal support
