Attorney – Transactional Finance – Commercial & Industrial Requirements & Qualifications
- Juris Doctor (J.D.) degree with strong academic credentials
- Admission to the New York and/or New Jersey Bar (Florida Bar admission is a plus)
- 4+ years of transactional or commercial finance experience, with a focus on C&I lending
- Strong drafting, negotiation, and organizational skills
- Excellent written and verbal communication abilities
- Ability to work independently and collaboratively within a team
- Familiarity with UCC Article 9 secured transactions strongly preferred
Attorney – Transactional Finance – Commercial & Industrial Preferred Background & Skills
- Experience with Florida-specific lending statutes
- Practice background including commercial real estate or other lending
- Experience handling asset-based and cash-flow-based credit facilities
Attorney – Transactional Finance – Commercial & Industrial Day-to-Day Responsibilities
- Prepare, review, and negotiate a range of commercial agreements, including purchase and sale agreements, leases, easements, and related documents
- Draft and negotiate financing documents, such as term loans, revolving credit facilities, security agreements, guarantees, and intercreditor agreements
- Manage due diligence efforts, including title, survey, lease review, and collateral verification for C&I loans
- Advise clients on transaction structuring, collateral packages, and support complex closing processes
- Serve as a primary contact for institutional lenders, regional banks, and corporate borrowers
- Support leasing matters and coordinate all aspects of C&I commercial finance closings
