We are seeking a Corporate Associate (Licensing) with 3+ years of experience drafting and negotiating complex commercial agreements for life sciences and technology companies to join a nationally recognized corporate practice in Boston. The ideal candidate will have experience advising on licensing, collaboration, and technology transactions, with exposure to intellectual property, SaaS, and regulatory considerations.

Corporate Associate (Licensing) Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements including licensing, collaboration, research, clinical trial, manufacturing, supply, and commercialization agreements
- Advise clients on contract interpretation, risk allocation, and regulatory compliance issues
- Support strategic and corporate transactions, including due diligence and review of IP assets and contractual obligations
- Handle high-volume commercial agreements such as NDAs, customer agreements, and terms and conditions
- Partner with scientists, executives, and cross-functional teams to align legal strategy with business objectives
- Stay current on legal and regulatory developments impacting life sciences and technology transactions
Corporate Associate (Licensing) Requirements
- JD or LLM from an ABA-accredited law school
- Admitted or eligible for admission in Massachusetts
- 3+ years of experience drafting and negotiating commercial contracts at a law firm
- Experience working with life sciences, biotechnology, pharmaceutical, medical device, or technology clients
- Knowledge of intellectual property law including patents, trademarks, trade secrets, and copyrights
- Familiarity with software licensing, SaaS agreements, and data privacy considerations preferred
- Background or degree in biology, immunology, biochemistry, or a related field preferred
- Strong negotiation, communication, and analytical skills
- Ability to manage multiple priorities in a fast-paced environment with strong attention to detail
