Corporate & Securities Paralegal Requirements & Qualifications
- Minimum 5 years of experience as a paralegal in a corporate and securities department, ideally within a law firm
- Proficiency in Microsoft Office Suite—especially Word (advanced formatting, styles, tables of contents), Excel, PowerPoint, and Adobe
- Strong knowledge of SEC filings, including registration statements (Forms DRS, S-1, F-1) and reporting (Forms 10-K, 10-Q, 8-K)
- Experience preparing and filing organizational and governance documents for corporations and LLCs
- Excellent organizational skills and attention to detail, with ability to handle multiple projects and confidential information
- Notary certification required (firm will sponsor if not currently certified)
- Strong communication, interpersonal, and client service skills
- Ability to work both independently and collaboratively
Corporate & Securities Paralegal Preferred Background & Skills
- Certified Paralegal designation
- Familiarity with Westlaw research and background searches
- Experience with Form D filings and state blue sky filings/research
- Previous experience billing time in a legal services environment
Corporate & Securities Paralegal Day-to-Day Responsibilities
- Prepare and file corporate formation documents, governance materials, EIN applications, and SEC Form ID/EDGAR filings
- Draft and assemble signature packets, closing documents, sets, and binders for acquisitions and financings
- Conduct corporate searches (good standing, D/B/A status, corporate liens) and respond to audit request letters
- Provide advanced Microsoft Office support, including document editing, presentations, formatting, and file conversions
- Manage multiple concurrent projects, deadlines, and priorities while maintaining accuracy
- Deliver general support to attorneys and assist with special projects as part of the Corporate & Securities group
