We are seeking a Corporate Associate with 3+ years of experience in mergers & acquisitions and private equity transactions to join a nationally recognized corporate practice in Boston. The ideal candidate will have experience advising private equity sponsors, portfolio companies, and financial institutions on complex transactions including acquisitions, divestitures, mergers, and joint ventures.

Corporate Associate Responsibilities
- Work on a wide range of corporate transactions, including mergers and acquisitions, private equity investments, joint ventures, and divestitures.
- Represent private equity funds, portfolio companies, financial institutions, and strategic buyers in complex transactional matters.
- Draft and negotiate transaction documents including purchase agreements, merger agreements, investment agreements, and related ancillary documents.
- Conduct and manage legal due diligence processes for acquisitions and investments.
- Coordinate transaction workflows and assist with deal execution across multiple parties.
- Provide legal analysis and strategic advice to clients regarding transaction structure and risk.
- Collaborate with attorneys across practice groups to support complex transactions and client matters.
- Manage multiple transactions simultaneously while maintaining strong attention to detail and meeting tight deadlines.
- Maintain consistent and professional communication with clients, opposing counsel, and internal teams.
Corporate Associate Requirements
- 3+ years of experience in corporate transactional law with a focus on M&A and private equity transactions.
- Experience handling acquisitions, mergers, divestitures, joint ventures, and private equity investments.
- Strong drafting and negotiation skills related to transactional documents.
- Excellent written and verbal communication skills.
- Ability to manage competing deadlines and complex deal processes.
- JD or LLM from an ABA-accredited law school.
- Admitted or eligible for admission to the Massachusetts Bar.
- Strong academic credentials and critical reasoning skills.
- Ability to collaborate effectively in a team-oriented environment.
